1. INTRODUCTION AND ACCEPTANCE OF TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between Nsight Intelligence, Corp., a United States corporation doing business as Cepien AI ("Company," "Nsight," "we," "our," or "us"), and the entity or individual accessing or using the Services ("Customer," "you," or "your").

By accessing, registering for, or using the Company’s unified product intelligence and execution platform, including all associated services, software, APIs, and integrations (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are entering into these Terms on behalf of an entity, you represent and warrant that you have full legal authority to bind such entity to these Terms. If you do not agree to these Terms, you must immediately cease all use of the Services.

2. ORDER OF PRECEDENCE

In the event that Customer has entered into a separate written agreement with Company, including but not limited to a Master Services Agreement ("MSA"), Order Form, or enterprise agreement, the terms of such agreement shall prevail over these Terms in the event of any conflict or inconsistency.

3. DEFINITIONS

For purposes of these Terms:

• "Customer Data" means all data, content, and materials submitted, uploaded, or otherwise transmitted by or on behalf of Customer.
• "Derived Data" means all outputs, results, analytics, insights, recommendations, impact analyses, effort estimations, agent-generated actions, and any other derivative works generated by the Platform through processing Customer Data.
• "Usage" means the measurable consumption of Services, including but not limited to data ingestion, processing, storage, API calls, AI model execution, and computational resources.
• "Platform Access Fee" means the fee charged for access to the Platform.
• "Usage Fees" means fees calculated based on Customer’s Usage of the Services.

4. ELIGIBILITY, AUTHORITY, AND ACCOUNT RESPONSIBILITY

Customer represents and warrants that:

• Customer is at least eighteen (18) years of age;
• Customer has the legal authority to enter into these Terms and bind the entity on whose behalf it is acting;
• The Services are used solely for business purposes (B2B), including by product, design, and related teams, but not limited thereto;
